These Terms of Use (“Terms”) govern your access to and use of the websites, platforms, digital tools, content, advisory offerings, and services operated by Mood Interior Designs Inc., including its affiliated brands and offerings such as Mood Interior Designs, Mood Procure, and Mood Refresh (collectively, “Mood,” “we,” “us,” or “our”).
By accessing or using any Mood website, platform, or service (the “Services”), you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Scope of Services
These Terms apply to:
- Visitors to Mood websites
- Users who submit contact forms, inquiries, or scheduling requests
- Participants in paid advisory sessions or consultations
- Users who access Mood Refresh or other digital tools
- Individuals who view, download, or rely on Mood content prior to entering into a written services agreement
Professional interior design, FF&E sourcing, procurement coordination, warehousing, and installation services are provided only pursuant to a separate written agreement (such as an engagement letter, proposal, or service agreement). Those agreements govern the scope, fees, timelines, deliverables, and risk allocation for professional services and will control in the event of any conflict.
2. Informational & Educational Nature of Content
All content made available through Mood websites or platforms — including images, renderings, plans, mood boards, presentations, written materials, examples, and educational resources — is provided for general informational and educational purposes only.
Nothing on a Mood website or platform constitutes architectural, engineering, construction, legal, financial, or professional interior design advice.
You acknowledge and agree that:
- Design concepts, visuals, and examples are illustrative only
- Outcomes depend on site conditions, budgets, contractors, vendors, and implementation
- You assume full responsibility for decisions made based on Mood content unless governed by a separate written agreement
3. Advisory Services (Including Mood Design Advisory)
Mood may offer paid advisory services, consultations, or strategy sessions (“Advisory Services”).
Advisory Services:
- Are consultative and educational in nature
- Do not include drawings, specifications, construction documents, or procurement unless expressly stated
- Do not establish a full-service design relationship
You acknowledge that Advisory Services:
- Are not a substitute for professional design or construction services
- Do not include site verification, code compliance review, or contractor coordination
- Should not be relied upon as final or comprehensive project solutions
Mood makes no guarantees regarding outcomes, cost savings, timelines, or project feasibility resulting from Advisory Services.
4. Mood Refresh Platform
Mood Refresh is a digital design and planning platform operated by Mood.
Use of Mood Refresh is governed by:
- These Terms
- The Mood Refresh–specific Terms of Use
- Any additional policies presented at the time of use
In the event of a conflict, the Mood Refresh–specific Terms of Use control with respect to platform functionality, AI-generated outputs, credits, pricing, payments, refunds, and digital deliverables.
5. No Professional Services Without Written Agreement
Accessing or using Mood websites, content, tools, or advisory services does not create a professional services relationship.
Mood is not obligated to provide:
- Interior design services
- Procurement services
- Installation services
- Site visits
- Project management
Unless and until a separate written agreement is executed.
6. Intellectual Property & License
All content, materials, designs, concepts, software, text, graphics, visuals, and tools made available by Mood are owned by or licensed to Mood Interior Designs Inc. and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, Mood grants you a limited, non-exclusive, non-transferable, revocable license to access and view content for personal or internal business evaluation purposes only.
You may not:
- Reproduce, distribute, or publicly display Mood content
- Use Mood materials for commercial purposes
- Modify or create derivative works
- Represent Mood concepts as your own
No ownership rights are transferred to you.
7. User Responsibilities & Assumption of Risk
You agree to:
- Use the Services in compliance with applicable laws
- Provide accurate and truthful information
- Exercise independent judgment when implementing ideas or recommendations
You expressly assume all risks associated with:
- Implementing design concepts
- Engaging third-party contractors or vendors
- Construction conditions, delays, or cost changes
- Site-specific limitations or safety conditions
8. Prohibited Conduct
You agree not to:
- Misuse or interfere with the Services
- Attempt unauthorized access to systems or data
- Upload or transmit malicious code
- Infringe upon the rights of Mood or others
- Use Mood content in a misleading or unlawful manner
Mood reserves the right to restrict, suspend, or terminate access for violations of these Terms.
9. Payments & Third-Party Services
Payments for Services may be processed through third-party providers. Mood is not responsible for third-party platforms, tools, or services, including payment processors, scheduling tools, or analytics providers.
Disputes related to third-party services must be resolved directly with the provider.
10. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Mood disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or availability.
Mood does not warrant that:
- Content is error-free
- Services will meet your expectations
- Outcomes will align with projections or examples
11. Limitation of Liability
To the maximum extent permitted by law, Mood Interior Designs Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services.
Mood’s total liability, if any, shall not exceed the amount paid by you to Mood for the specific Service giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Mood Interior Designs Inc. from any claims, damages, losses, liabilities, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party.
13. Termination
Mood reserves the right, in its sole discretion, to suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to Mood or others.
14. Entire Agreement; Severability; Waiver
These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and Mood regarding use of the Services.
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any provision shall not constitute a waiver.
15. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
